NTFS is much better than FAT32. Aside from security, NTFS can support filesize greater than 4GB.
FAT32 IIRC cannot handle HDs larger than a certain size (80 GB?)

NTFS is more secure; you can employ file and folder encryption (XP Pro only) and true file/folder permissions
More resilient to disk read/write errors and can tolerate bad sectors more effectively due to its journaling capability.
If you have Linux, go for reiserFS or ext3. Macs use HFS+.
