Cannot format WD 320g MyPassport

Help! Should I just throw away this external HD. It seems like nothing is working.

I get the error “Windows was unable to complete the format”.

When i insert it on either my desktop or laptop, it says the same thing. Both are using Win7.

Tried the normal formatting - right clicking on the drive - no luck
Tried disk management, deleting the volume and assigning a volume - same error

Is this thing useless, used for about a year..
no more warranty..
