Factory Unlocked means that it will never be locked. The phone is originally "Open Line" out of the box. There is no carrier logo whatsoever. It is the International Retail Version.

Unrooted means, for Samsung atleast, that the Kernel is still untouched. It is the same Kernel that came with the Firmware version of the phone when it was bought. There are a lot of official SGS2 firmwares out there that you can flash as you don't need a rooted phone when flashing firmwares (for Samsung). However, when you root, you will need an unsecure Kernel to successfully gain root access to your phone. Then you might as well flash the original Kernel again to get rid of the Triangle picture with an Android inside of it that appears everytime you boot up the phone.
